By accessing or using Filezy ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.
These Terms apply to all users of the Platform, including creators who sell digital files and buyers who purchase them.
2. Description of Service
Filezy is a marketplace platform that enables creators to sell digital files directly to buyers. We provide the infrastructure for file hosting, payment processing, and download delivery.
Filezy acts as an intermediary and does not:
- Own or control the content uploaded by creators
- Guarantee the quality or accuracy of any files
- Provide refunds directly (refund policies are set by creators)
3. User Accounts
3.1 Account Creation
To use certain features of the Platform, you must create an account. You agree to:
- Provide accurate and complete information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
3.2 Account Termination
We may suspend or terminate your account if you violate these Terms or engage in fraudulent or harmful behavior.
4. Creator Obligations
As a creator on Filezy, you agree to:
- Ownership: Only upload files you own or have rights to distribute.
- Accuracy: Provide accurate descriptions and pricing for your files.
- Quality: Ensure files are functional and match their descriptions.
- Legal Compliance: Comply with all applicable laws and regulations.
- Tax Responsibility: Handle your own tax obligations for income earned.
- Payment Setup: Complete Stripe onboarding before publishing files for sale.
5. Buyer Rights
As a buyer on Filezy, you receive:
- Download Access: Time-limited access to download purchased files (typically 24 hours, up to 5 downloads per purchase).
- Personal Use: Rights to use purchased files for personal or commercial purposes as specified by the creator.
- Support: Access to our support system for purchase-related issues.
Buyers should review file descriptions carefully before purchasing. Refund policies are determined by individual creators.
6. Intellectual Property
6.1 Creator Content
Creators retain ownership of their uploaded content. By uploading to Filezy, creators grant us a limited license to host, display, and distribute files to buyers.
6.2 Platform Content
Filezy and its original content, features, and functionality are owned by Filezy and are protected by intellectual property laws.
6.3 User Submissions
You are responsible for ensuring you have the right to upload any content to the Platform. We reserve the right to remove content that infringes on intellectual property rights.
7. Payments and Fees
7.1 Pricing
Creators set their own prices for files. All prices are displayed in the currency shown at checkout.
7.2 Platform Commission
Filezy charges a commission on each sale (currently 5%). This is automatically deducted from the sale amount before payout to creators.
7.3 Payment Processing
Payments are processed through Stripe. Creators must complete Stripe onboarding to receive payouts. Payout timing and methods are determined by Stripe's policies.
7.4 Refunds
Refund policies are set by individual creators. Filezy may process refunds in cases of fraud or platform errors.
8. Prohibited Content
You may not upload, sell, or distribute content that:
- Infringes on intellectual property rights
- Contains malware, viruses, or harmful code
- Is illegal, defamatory, or obscene
- Violates privacy rights
- Promotes violence or discrimination
- Is fraudulent or deceptive
- Violates any applicable laws
We reserve the right to remove any content that violates these guidelines and may terminate accounts of repeat offenders.
9. Limitation of Liability
To the maximum extent permitted by law, Filezy shall not be liable for:
- Any indirect, incidental, or consequential damages
- Loss of profits, data, or business opportunities
- Content uploaded by users
- Transactions between buyers and creators
- Service interruptions or technical failures
Our total liability shall not exceed the amount you paid to Filezy in the past 12 months.
10. Indemnification
You agree to indemnify and hold harmless Filezy, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Platform or violation of these Terms.
11. Termination
We may terminate or suspend your access to the Platform immediately, without prior notice, for any reason, including breach of these Terms.
Upon termination:
- Your right to use the Platform will cease immediately
- Creators will receive pending payouts for completed sales (subject to our policies)
- Buyers retain download rights for previously purchased files (within the download period)
12. Dispute Resolution
Any disputes arising from these Terms or your use of the Platform shall be resolved through:
- Informal Resolution: Contact our support team to attempt to resolve the issue.
- Mediation: If informal resolution fails, the parties agree to attempt mediation.
- Arbitration: Binding arbitration as a final resort, in accordance with applicable laws.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of significant changes through email or platform notifications. Your continued use of the Platform after changes constitutes acceptance of the updated Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
